Terms of Service - With Good Plan

Agreement to Terms

By accessing or using With Good Plan ("the Service"), you agree to be bound by these Terms of Service. If you don't agree, please don't use our platform. These terms apply to all users, including businesses creating payment plans and customers accessing their payment portals.

Description of Service

With Good Plan provides a platform for businesses to create, manage, and track payment plans for overdue invoices. We facilitate communication between businesses and their customers, send payment reminders, and provide a neutral interface for negotiating payment schedules.

Important: We do not process payments, hold funds, or act as a collections agency. Customers pay businesses directly using their existing payment methods.

Eligibility

To use With Good Plan, you must:

Be at least 18 years old
Have the authority to enter into contracts on behalf of your business
Provide accurate and complete registration information
Comply with all applicable laws and regulations

Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials
You are responsible for all activities that occur under your account
You must notify us immediately of any unauthorized access or security breach
We reserve the right to suspend or terminate accounts that violate these terms
One account per business; multiple users within a business may share an account if properly authorized

Acceptable Use

You May:

Create payment plans for legitimate overdue invoices
Communicate professionally and respectfully with customers
Use the platform to track payment progress and manage customer relationships

You May Not:

Use threatening, harassing, or abusive language toward customers
Create payment plans for debts that are disputed, fraudulent, or outside statute of limitations
Misrepresent the amount owed, interest rates, or payment terms
Share customer information with third parties (including collections agencies) without consent
Use the platform to violate any laws, including the Fair Debt Collection Practices Act (FDCPA)
Attempt to reverse engineer, hack, or compromise the platform's security
Use automated systems (bots, scrapers) to access the platform without permission
Impersonate another business or person

Payment Plans and Customer Communication

Accuracy: You represent that all invoice amounts and payment plan details are accurate
Good Faith: You agree to work with customers in good faith to reach mutually agreeable payment arrangements
Compliance: You are responsible for ensuring your payment plans comply with applicable consumer protection laws
Communication Tone: All communications through the platform must maintain a neutral, professional, and respectful tone consistent with our values
Customer Rights: You acknowledge that customers have the right to dispute amounts, propose alternative arrangements, and request validation of debts

Subscription and Billing

Subscription Plans: We offer tiered subscription plans (Starter, Growth, Business) based on the number of concurrent active payment plans
Billing Cycle: Subscriptions are billed monthly or annually in advance
Free Trial: New accounts receive a 14-day free trial. You can cancel anytime during the trial without charge
Payment Method: You authorize us to charge your payment method on file. You must keep your payment information current
Automatic Renewal: Subscriptions automatically renew unless canceled before the renewal date
Price Changes: We reserve the right to change pricing with 30 days' notice. Changes take effect on your next billing cycle
Taxes: Prices do not include applicable taxes, which will be added to your invoice
Failed Payments: If payment fails, we'll attempt to collect payment for up to 7 days. After that, your account may be suspended

Cancellation and Refunds

Data Ownership and License

Your Data: You retain ownership of all customer data, invoice information, and content you input into the platform
License to Us: You grant us a limited license to use your data solely to provide the Service
Data Export: You can export your data at any time from your account settings
Data Deletion: Upon account closure, we will delete your data within 90 days (unless required to retain it for legal reasons)

Intellectual Property

With Good Plan and all associated content (logos, designs, text, software) are owned by us and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

Third-Party Services

Our platform integrates with third-party services (e.g., Stripe for billing). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the performance or policies of third-party services.

Disclaimers

No Guarantee: We do not guarantee that use of the platform will result in payment of invoices or debt recovery
No Legal Advice: Nothing on the platform constitutes legal, financial, or tax advice. Consult professionals for your specific situation
"As Is" Service: The platform is provided "as is" without warranties of any kind, express or implied
Availability: We strive for 99.9% uptime but do not guarantee uninterrupted access. We may perform maintenance that temporarily affects availability

Limitation of Liability

To the fullest extent permitted by law, With Good Plan shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from:

Your use or inability to use the Service
Customer disputes or non-payment of invoices
Errors, bugs, or interruptions in the Service
Unauthorized access to your account or data
Third-party actions or services

Our total liability to you for any claims arising from use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold harmless With Good Plan from any claims, damages, losses, or expenses (including legal fees) arising from:

Your violation of these Terms
Your violation of any law or regulation
Your violation of customer rights
Disputes with your customers
Inaccurate or fraudulent information you provide

Dispute Resolution

Informal Resolution: If you have a concern, please contact us at support@withgoodplan.com first. We'll work in good faith to resolve it.
Arbitration: Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules
Class Action Waiver: You agree to resolve disputes individually, not as part of a class action
Governing Law: These Terms are governed by the laws of [Your State], United States, without regard to conflict of law principles

Changes to Terms

We may update these Terms from time to time. We'll notify you of material changes via email or by posting a notice on the platform. Your continued use after changes take effect constitutes acceptance of the new Terms.

Termination

By You: You may cancel your account at any time through account settings
By Us: We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason with notice
Effect: Upon termination, your access to the platform ends immediately. Provisions regarding data ownership, disclaimers, and liability survive termination

Miscellaneous

Entire Agreement: These Terms, along with our Privacy Policy and Refund Policy, constitute the entire agreement between you and With Good Plan
Severability: If any provision is found invalid, the remaining provisions remain in effect
No Waiver: Our failure to enforce any right or provision does not constitute a waiver
Assignment: You may not assign these Terms without our consent. We may assign them to any successor or acquirer
